Acquisition Criteria
M.J.E.R.D. applies a consistent, disciplined set of criteria to every potential acquisition opportunity. All evaluations remain subject to independent diligence and closing conditions.
Important: M.J.E.R.D. evaluates established operating businesses for potential acquisition. No acquisition has closed to date. Any potential transaction is subject to independent due diligence, financing availability, negotiated terms, and definitive documentation. The criteria below represent our evaluation framework, not a commitment to transact.
Eight Fundamental Qualities
Positive Cash Flow
The business generates consistent, documented positive cash flow. We do not acquire pre-revenue or speculative ventures. Profitability—actual or clearly recoverable—is required.
Healthy Operating Margins
The business operates with margins supporting sustainable growth, debt service, and investment without constant capital injection.
Loyal Customers
The business has a demonstrated history of repeat customers, strong retention, and community attachment—an economic moat protecting revenue.
Established Operations
The business has a proven operating track record with systems and processes in place. We build on foundations, not concepts.
Growth Opportunities
There are clear, identifiable opportunities to improve revenue, expand margins, or scale operations where M.J.E.R.D.’s operational expertise adds value.
Ethical Leadership
We conduct thorough diligence on the ethics, reputation, and character of every seller. The quality of leadership is as important as the quality of financials.
Strong Fundamentals
Clean financial records, documented revenue, manageable liabilities. We require full financial transparency as a condition of any acquisition process.
Long-Term Sustainability
The business serves durable, understandable demand in a market that will exist 20 years from now. We build for long-term stewardship, not short-term cycles.
